Anthropic, the San Francisco-based artificial intelligence developer, has submitted confidential documents to the U.S. Securities and Exchange Commission. The filing marks the first formal step toward an initial public offering, a process that will likely take several months before the company officially announces a listing date.
The move signals that the startup is preparing to leave the private market. By filing confidentially, Anthropic gains the ability to test investor interest without immediately revealing its financial details to competitors or the general public. This strategy allows the company to refine its valuation expectations in private discussions with bankers and potential investors.
Internal targets for the valuation stand at approximately $150 billion. This figure would place Anthropic among the most valuable technology companies in the United States, rivaling established giants in the sector. The company has not yet disclosed specific revenue figures or profit margins in the confidential paperwork, but the valuation suggests strong performance in its core business of building large language models.
Anthropic was founded in 2021 by former OpenAI researchers, including Dario Amodei and Daniela Amodei. The company has since become a major player in the enterprise AI space, providing tools that allow businesses to integrate artificial intelligence into their operations. Its flagship product, Claude, is widely used by developers and corporations for tasks ranging from code generation to document analysis.
The decision to go public comes at a time when the AI sector is facing increased scrutiny over costs and revenue growth. While many startups in the field have delayed their public debuts to protect their privacy or wait for more favorable market conditions, Anthropic appears ready to engage with public investors. The company has raised over $6 billion in venture capital funding from prominent firms, including Google, Amazon, and Menlo Ventures.
A public listing will require Anthropic to undergo a rigorous review process. The company will need to publish detailed financial statements, describe its business model in depth, and identify potential risks associated with its technology. Analysts expect the filing to reveal the extent of the company's compute costs, a major expense driver for AI labs that rely on powerful graphics processing units to train their models.
The stock exchange listing will also subject Anthropic to quarterly earnings reports and stricter governance standards. This transparency will be a shift from its previous status as a private entity, where financial data was available only to its shareholders. The company's leadership has indicated that the proceeds from the sale of new shares will be used to fund further research and infrastructure development, aiming to maintain its competitive edge against rivals like OpenAI and Microsoft.
The confidential filing was received by the SEC on Tuesday. The company's securities counsel confirmed the submission in a brief notice to key stakeholders. No further public details are expected until the company files a formal S-1 prospectus, which will include a prospectus summary and a pricing range for the shares.
